Coinner (hereafter: also “we”, “us” or “our”) provides online software as a service (SaaS) through the website
https://marketmaker.coinner.co (hereafter: also “Website”). Our software (hereafter: also “Software” or “Platform”) is self-service software that provides automated trading bots, including market making, liquidity, volume and sell bots, which you configure and run yourself on third-party centralized exchanges (“CEX”) and decentralized exchanges (“DEX”), using accounts and wallets that you control, in connection with a digital token or asset that you own or are authorized to act for. Coinner provides the software only; it does not operate the bots for you and does not itself perform any trading, market making or execution. These terms and conditions (hereafter: also “Terms”) govern the relationship between Coinner and the user (hereafter: “you”, “Client” or “User”) for any use of the Website and the Software. It is prohibited to use the Website or Software without accepting these Terms. You should also read our Privacy Policy at
https://marketmaker.coinner.co/privacy, which is incorporated by reference into these Terms, prior to agreeing to these Terms and Conditions.
1.1 Coinner / we / our: a software provider that makes available automated trading bot software which Users configure and operate themselves. Coinner does not provide market making, trading or execution services, does not trade as principal or agent, and does not act as a market maker; it supplies tools that Users run on their own accounts and wallets.
1.2 Bot: a computer program that processes cryptocurrency trade orders on third-party centralized or decentralized exchanges using parameters and strategies that you configure, without continuous human interaction. Bots include, without limitation, market making, liquidity, volume, mirror and sell bots.
1.3 User / Client / You: the individual person, token project or legal entity accessing or using the Website or Software, and any person acting on their behalf.
1.4 Software / Platform: the website, applications and bot infrastructure developed and operated by Coinner to enable Users to configure and run automated trading and market making strategies (available at
https://marketmaker.coinner.co).
1.5 Connected Account: a third-party CEX account or on-chain wallet that you connect to the Platform for the Bots to operate on.
1.6 API Key: a secret credential providing the Platform programmatic access to a third-party centralized exchange in order to place, manage and cancel orders.
1.7 Trading Wallet: a dedicated on-chain wallet whose private key you provide to the Platform so that DEX Bots can execute the trades you configure.
1.8 Subscription: a paid plan that grants you access to a defined set of Bots and features for a recurring billing period.
2. Eligibility, registration and authority
2.1 To use or access our Website or Software, go to

2.2 You must be at least 18 years old and have the legal capacity to enter into these Terms.
2.3 You will need to register and create an account by providing certain information, such as your email address and a password.
2.4 If you use the Platform on behalf of a token project, company or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and “you” refers to both you and that entity.
2.5 You must protect the login details of your account and keep your password strictly secret. We will assume that all activities performed from your account are made by you or by a person you have authorized.
2.6 You agree to provide accurate, current and complete information and to keep it up to date so that we can contact you when needed.
3.1 Coinner is a technology provider. We supply software that executes automated trading and market making strategies that you configure and control. We are not a broker, dealer, exchange, investment adviser, fund, market maker acting as principal, or financial institution, and we do not provide financial, investment, legal, tax or accounting advice.
3.2 We do not take custody of your trading capital. Funds remain in your Connected Accounts and Trading Wallets at all times. We never hold a balance on your behalf, and we cannot withdraw your funds to any destination other than as directed by the strategies you configure on your own accounts and wallets.
3.3 The Bots act on your instructions and configuration. You are solely responsible for selecting strategies, parameters, pairs, venues and capital, and for the results of running them.
4. Client representations, compliance and lawful use
This Section 4 is fundamental to your right to use the Platform. By using the Software you represent, warrant and agree, on a continuing basis, that:
a. you are the owner of, or are duly authorized by the issuer, team or controlling party of, any token or asset for which you run Bots, and you have the authority to direct trading and market making activity in that token;
b. your use of the Platform, including all market making, volume, liquidity and other bot activity you configure, complies with all laws, regulations and rules applicable to you, to the relevant token, and in every jurisdiction in which you or the activity has effect, including securities, commodities, market-abuse, market-manipulation, anti-fraud, anti-money-laundering, sanctions and tax laws;
c. you will not use the Platform to engage in, facilitate or disguise any unlawful activity, including unlawful market manipulation, wash trading, spoofing, “pump and dump” schemes, insider dealing, the creation of deceptive or fraudulent trading activity, or the circumvention of any exchange’s rules or terms of service;
d. you comply with the terms of service, listing rules and trading rules of every third-party exchange and protocol on which you run Bots, and you are solely responsible for any consequence of breaching them, including account freezes, delisting or seizure of funds by such third parties;
e. you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive sanctions, and you are not a person with whom we are prohibited from dealing under applicable sanctions laws; and
f. all information you provide to us is accurate and not misleading.
You acknowledge that the legality of automated market making and volume activity varies by jurisdiction, by token classification and by venue, that determining and maintaining compliance is solely your responsibility, and that Coinner makes no representation that any particular use of the Platform is lawful for you. We may refuse, suspend or terminate service, and may report activity to relevant parties, if we reasonably believe this Section 4 has been breached.
5. Connected accounts, API keys and trading wallets
5.1 CEX API keys. To run Bots on a centralized exchange, you provide an API Key for an account you control. We recommend that you grant the minimum permissions required (trading, not withdrawal) and, where the exchange supports it, restrict the key by IP. We store API Keys in encrypted form and use them solely to operate the Bots you configure.
5.2 DEX trading wallets. To run Bots on a decentralized exchange, you provide the private key of a dedicated Trading Wallet, which Coinner stores in encrypted form and uses solely to execute the automated trades you configure. You must treat this wallet as a “hot wallet,” fund it only with capital you intend to deploy, and withdraw funds at your discretion.
5.3 You are responsible for funding, monitoring and securing your Connected Accounts and Trading Wallets. Coinner does not insure these funds and is not liable for any loss arising from security incidents, bot behavior, mis-configuration, gas or network conditions, slippage, smart-contract risk, or third-party CEX, DEX or protocol failures affecting them.
5.4 You may stop your Bots, disconnect a CEX API Key, or remove a Trading Wallet at any time through the Platform. Disconnecting a key or wallet stops further bot activity on it but does not reverse trades already executed.
6. Subscriptions, fees and payment
6.1 Access to the Bots and features of the Platform is provided through paid Subscription plans. The tiers, included features, bot limits, prices and billing periods are described on our pricing page and are the prices in effect at the time of your purchase.
6.2 Subscriptions are billed in advance for the selected billing period (for example monthly, six-monthly or annual) and, unless cancelled, renew automatically for a further period of the same length at the then-current price.
6.3 You may cancel a Subscription at any time, effective at the end of the current paid billing period. Except where required by law, fees already paid are non-refundable, and cancelling does not entitle you to a refund for the remainder of a paid period.
6.4 We may change prices, plans or features. We will give reasonable advance notice of price changes that affect your next renewal; the new price applies from the next billing period after the notice.
6.5 You are responsible for any taxes, exchange trading fees, gas fees, network fees and third-party costs arising from your use of the Platform; these are separate from, and not included in, your Subscription fee.
6.6 If a payment fails or is reversed, we may suspend or terminate your Subscription and stop your Bots.
7. Fair and acceptable use
7.1 You may not use the Website or Software in any way that violates any applicable national or international laws and regulations, or the rights of third parties.
7.2 You may not use the Platform, or allow third parties to:
a. transmit any content that is unlawful, fraudulent, deceptive or objectionable;
b. transmit any content that contains software viruses or code designed to interrupt the functionality of any hardware, software or telecommunication system;
c. investigate, scan or test the Platform or any related system, or breach any security or authentication measure;
d. operate Bots on any token, account or venue you are not authorized to access or act for; or
e. resell, sublicense or provide the Platform to third parties except as expressly permitted by your plan.
7.3 Confidentiality of the account
a. you may not create an account under someone else’s name or impersonate any person or entity;
b. you may not provide any other person with access to the Platform using your credentials, except an authorized person acting for your account;
c. for an organizational account, you are responsible for ensuring that only authorized persons have access;
d. you are responsible for maintaining the confidentiality of your credentials and for restricting access to your devices; and
e. you are responsible for all activities that occur under your account, including any misuse. We may take reasonable actions (such as temporarily or permanently blocking your account and denying access) to protect you from unauthorized access. You agree to notify us immediately of any unauthorized access or other breach of security; if you fail to do so, we may be unable to limit the resulting harm.

9. Disclaimer and assumption of risk
9.1 Coinner is a technology provider that makes self-service automated trading bot software available for use on centralized (CEX) and decentralized (DEX) exchanges. The bots are configured and operated by you. We are not a registered broker, dealer, investment adviser, exchange, market maker or financial institution, and we do not perform trading, market making or execution on your behalf. Nothing on our Website, Software or Platform constitutes financial, investment, legal, tax or professional advice. You are solely responsible for any decisions made using the tools, data or strategies offered through Coinner, and you agree to use the Platform entirely at your own risk.
9.2 Coinner will try to ensure the accuracy of information on the Website but accepts no responsibility for any missing or incorrect information.
9.3 The use of automated trading and market making bots carries significant financial, technological and regulatory risk. Trading in cryptocurrencies and digital assets involves a high degree of market volatility and uncertainty. You acknowledge and agree that losses may occur, that markets may move against you, that bots may behave in unintended ways, and that Coinner is not responsible for any trading outcomes, missed trades, unintended bot behavior, or regulatory consequences of your activity.
9.4 The Platform is provided “as is” and “as available.” To the maximum extent permitted by law, Coinner disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the Platform will be uninterrupted, error-free, secure, or that any strategy will achieve any particular result.
10. Intellectual property
10.1 The Website, Software, trademarks and other intellectual property displayed or distributed via the Platform are the exclusive property of Coinner. Nothing in these Terms grants you any right to use Coinner’s intellectual property except as expressly stated.
10.2 Subject to your compliance with these Terms and payment of applicable fees, Coinner grants you a non-transferable, non-exclusive, non-sublicensable and revocable license to use the Platform at
https://marketmaker.coinner.co for your own business or trading purposes, subject to the limitations in Section 7.
10.3 If you violate any portion of the license, we may immediately terminate your permission to access the Platform and pursue any legal remedies available under applicable law.
11. Third-party content and platforms
11.1 Any third-party content provided through the Platform is for informational purposes only. You should conduct your own analysis before acting on it. Coinner has no control over, and gives no warranty regarding, the content or information of such resources.
11.2 Use of certain links on the Software will direct you to third-party feeds, software, websites, exchanges, blockchains or applications (collectively, “Third-Party Platforms”). Such Third-Party Platforms are not under Coinner’s control, and Coinner is not responsible for their content, availability, security or conduct. The inclusion of any link does not imply endorsement. If you access any Third-Party Platform, you do so entirely at your own risk and subject to that platform’s own terms.
12. Limitation of liability
12.1 Nothing in these Terms excludes or limits Coinner’s liability where it cannot be excluded or limited under applicable law.
12.2 To the maximum extent permitted by law, Coinner is not liable to you for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, trading capital, tokens, data or goodwill, arising out of or in connection with your use of the Website or Software. By way of example and without limitation, Coinner is not liable for:
- the proper functioning of links provided by the Website or Software;
- any lack of financial benefit, or any loss, resulting from your use of the Bots, Website or Software;
- any situation where your credentials, API Keys or Trading Wallet keys are compromised and a third party makes use of the Platform or your funds without your consent;
- any loss of funds in a Connected Account or Trading Wallet, however caused;
- any regulatory, exchange or legal action taken against you in connection with your activity;
- any damage or alteration to your equipment as a result of using the Website or Software; or
- a failure to meet any obligation under these Terms where such failure is due to events beyond Coinner’s reasonable control.
12.3 To the maximum extent permitted by law, Coinner’s total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the total Subscription fees you paid to Coinner in the three (3) months immediately preceding the event giving rise to the claim.
You will indemnify, defend and hold Coinner and its operators, owners and personnel harmless from and against all liabilities, damages, penalties and costs (including settlement costs and reasonable attorneys’ fees) arising out of or relating to:
a. your use of the Website and Software, including the conduct and outcomes of any Bots you configure;
b. your breach of these Terms, including any of the representations in Section 4, or your violation of any applicable law, regulation, order, exchange rule or third-party right; and
c. any claim that your trading, market making or volume activity constituted market manipulation, fraud, or other unlawful conduct.
14. Term, suspension and termination
14.1 These Terms apply for as long as you have an account or use the Platform.
14.2 You may terminate by cancelling your Subscription and deleting your account (see Section 16).
14.3 We may suspend or terminate your access immediately, without refund, if you breach these Terms (in particular Section 4), if payment fails, if required by law or a third-party exchange, or if we reasonably believe your activity is unlawful, fraudulent or harmful to Coinner, other users or third parties.
14.4 On termination, your Bots will stop and your license ends. Sections that by their nature should survive (including Disclaimer, Limitation of Liability, Indemnification and Intellectual Property) survive termination.
15. Availability of the Website and Software
15.1 Coinner will use reasonable efforts to make the Website and Software available, but you acknowledge that they are provided over the internet and that their quality and availability may be affected by factors outside Coinner’s reasonable control.
15.2 Coinner accepts no responsibility for unavailability of the Website or Software, or any difficulty or inability to access content, or any communication or system failure resulting in the Website or Software being unavailable (“Outages”).
15.3 Coinner is not responsible for any particular level of support or maintenance. Coinner may, at its discretion, update, modify or adapt the Platform and its functionality from time to time, and is not responsible for any downtime resulting from such actions.
15.4 The Platform may be unavailable, or Bots may not execute as intended, when a linked third-party exchange or blockchain undergoes maintenance, congestion, an outage, or a change to its API or rules. We are not responsible for any resulting downtime or impact on your Bots.
16. Deletion of the account and disconnecting linked venues
16.1 If you wish to terminate your activity and permanently delete your account and user details, you may request this through the Platform or by emailing our support team at
contact@coinner.co. We will delete your account and associated data, subject to any data we are required or permitted to retain under the Privacy Policy and applicable law.
16.2 To block any linked CEX, you can disconnect it by deleting the API Key through the Platform. To stop DEX activity, stop the Bot and remove the Trading Wallet through the Platform. You remain responsible for withdrawing any funds from your Connected Accounts and Trading Wallets.
17.1 Any Coinner account holder may apply to join the affiliate program. Participation is subject to approval and to these Terms.
17.2 Affiliates earn rewards for referring new customers who sign up through the affiliate’s referral link and pay for a Subscription, as described on our affiliate page (for example, a one-time bonus on a referral’s first paid conversion and a recurring percentage commission for as long as the referred customer remains subscribed). Referral attribution uses first-touch tracking within a defined cookie window and server-side tracking against the referred account.
17.3 Self-referrals do not qualify. Commissions are paid only on genuine referrals of new, paying customers and only while their Subscription remains active and paid.
17.4 The rewards, amounts, attribution rules and payout methods are subject to change at Coinner’s sole discretion. Coinner reserves the right to change, pause or end the affiliate program, and to withhold or reverse rewards, in cases of suspected fraud, abuse, self-dealing, chargebacks, refunds, or any violation of these Terms.
Coinner reserves the right to change these Terms. We will notify you of material changes through the Website, the Software or by email a reasonable time in advance. Changes become effective at the end of the notice period. If you do not agree with the changes, you may cancel your Subscription and delete your account as described in Section 16. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
19. Support, reports, comments and suggestions
Coinner aims to provide you with the best possible service. If you have a complaint, report, comment, suggestion or need support, you can contact us at
contact@coinner.co. We will address requests such as:
a. support for the operation of the Platform;
b. reports of misuse of your account; and
c. comments or suggestions that help us improve the Platform.
